1. Introduction

Welcome to Tez Taxi ("we", "our" or "us"). These Terms of Service ("Terms") govern your use of our B2B taxi ordering platform and related services (collectively referred to as the "Service"), operated by Tez Taxi.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

2. Definitions

  • Platform : Tez Taxi web application, API and physical devices
  • Business User : Hotels, restaurants and other businesses registered on our platform
  • Device : Physical buttons, tablets or kiosks provided by Tez Taxi
  • Partner : Third-party taxi aggregators and service providers
  • Order : Taxi booking request made through our platform

3. Service Description

Tez Taxi provides a B2B platform that enables businesses to order taxis for their customers and guests through:

  • Physical ordering devices (buttons, tablets, kiosks)
  • Web dashboard for management and analytics
  • API integration for partners
  • Automatic taxi aggregator selection

4. Account Registration

4.1 Eligibility

  • You must be a registered legal entity in Uzbekistan
  • You must provide accurate and complete registration information
  • You must maintain secure credentials

4.2 Account Responsibility

  • You are responsible for all activities under your account
  • You must immediately notify us of any unauthorized access
  • You may not provide account access to unauthorized persons

5. Device Usage

5.1 Device Ownership

  • All physical devices remain the property of Tez Taxi
  • Devices are provided on a rental or purchase basis per agreement
  • You must not tamper with, modify or reverse engineer devices

5.2 Device Care

  • You are responsible for the physical security of devices
  • You must immediately report any damage or malfunction
  • Lost or damaged devices may incur replacement fees

5.3 Device Authentication

  • Each device has a unique serial number for authentication
  • You must not attempt to clone or duplicate device identifiers
  • Unauthorized device use will result in immediate suspension

6. Service Rules

6.1 Acceptable Use

You agree to use the Service only for:

  • Ordering taxis for legitimate business purposes
  • Managing your business locations and employees
  • Accessing analytics and reports for your business

6.2 Prohibited Use

You may not:

  • Use the Service for any illegal purposes
  • Attempt to bypass security measures
  • Interfere with or disrupt the Service
  • Resell or redistribute the Service without permission
  • Submit false or fraudulent orders
  • Use automated systems to abuse the platform

7. Order Processing

7.1 Order Placement

  • Orders are processed automatically through our partner aggregators
  • We select the best available option based on price and availability
  • You acknowledge that we are an intermediary, not a transportation provider

7.2 Order Fulfillment

  • Actual transportation services are provided by third-party partners
  • We are not responsible for the quality of transportation services
  • Disputes regarding rides should be directed to the service provider

7.3 Cancellations

  • Orders may be cancelled according to partner policies
  • Cancellation fees may apply as determined by the service provider
  • Repeated cancellations may result in service restrictions

8. Payment Terms

8.1 Service Fees

  • Commission fees apply to each successful order
  • Device rental/purchase fees as per agreement
  • Premium feature subscriptions are billed monthly

8.2 Payment Methods

  • Payments accepted via bank transfer, card or corporate account
  • All fees exclude applicable taxes
  • Invoices are issued monthly for business accounts

8.3 Late Payments

  • Late payments incur 1% monthly interest
  • Services may be suspended for overdue accounts
  • Collection costs are borne by the defaulting party

9. API Usage (For Partners)

9.1 API Access

  • API keys must be kept secret
  • Rate limits apply as specified in documentation
  • API usage must comply with technical documentation

9.2 Data Usage

  • API data must be used only for agreed purposes
  • You may not store or cache data beyond permitted limits
  • Commission tracking applies to all API-generated orders

10. Intellectual Property

10.1 Platform Rights

  • All platform technology remains our intellectual property
  • Tez Taxi name and logo are our trademarks
  • You may not copy or reproduce our software or designs

10.2 User Content

  • You retain rights to your business information
  • You grant us license to use your data to operate the Service
  • We may use aggregated data for analytics and improvements

11. Privacy and Data Protection

11.1 Data Processing

  • We process data according to our Privacy Policy
  • You must comply with applicable data protection laws
  • You are responsible for your employees' data use

11.2 Security

  • We implement reasonable security measures
  • You must maintain secure credentials
  • Report any security breaches immediately

12. Liability and Disclaimers

12.1 Service Availability

  • We aim for 99.9% uptime but do not guarantee uninterrupted service
  • We are not liable for partner service failures
  • Force majeure events excuse performance obligations

12.2 Limitation of Liability

  • Our liability is limited to direct damages only
  • Maximum liability equals fees paid in the previous month
  • We are not liable for indirect or consequential damages

12.3 Indemnification

  • You indemnify us from claims arising from your use
  • This includes violations of these Terms
  • We may defend ourselves at your expense

13. Term and Termination

13.1 Term

  • These Terms are effective from registration
  • Service agreements may have specific terms
  • Either party may terminate with 30 days notice

13.2 Effects of Termination

  • Upon termination, access will be revoked
  • Devices must be returned within 14 days
  • Outstanding payments remain due

13.3 Suspension

  • We may suspend services for Terms violations
  • Suspension may occur without notice for serious violations
  • You may appeal suspensions through support

14. Dispute Resolution

14.1 Governing Law

  • These Terms are governed by the laws of Uzbekistan
  • Courts of Tashkent have exclusive jurisdiction
  • UN Convention on Contracts is excluded

14.2 Arbitration

  • Disputes must first be resolved through good faith negotiations
  • If unsuccessful, arbitration applies in Tashkent
  • Arbitration must be conducted in Russian or Uzbek

15. Changes to Terms

15.1 Modifications

  • We may update these Terms at any time
  • Significant changes will be notified by email
  • Continued use constitutes acceptance of changes

15.2 Version Control

  • Current version is always available on our website
  • Previous versions available upon request
  • Changes become effective 30 days after publication

16. General Provisions

16.1 Entire Agreement

  • These Terms constitute the entire agreement
  • Supersedes all prior agreements
  • Additional terms may apply to specific services

16.2 Severability

  • Invalid provisions shall be severed
  • Remainder continues in effect
  • Invalid provisions replaced with valid equivalent

16.3 Assignment

  • You cannot assign these Terms without consent
  • We may assign to successors or affiliates
  • Assignment does not release from obligations

16.4 Waiver

  • No waiver unless in writing
  • Waiver of one breach does not waive others
  • Rights and remedies are cumulative

17. Special Terms for Business Categories

17.1 Hotels

  • Must ensure guest consent for taxi ordering
  • Responsible for accurate pickup locations
  • May integrate with property management systems

17.2 Restaurants

  • Orders must be for actual patrons
  • Cannot use service for delivery purposes
  • Must maintain accurate operating hours

17.3 Medical Facilities

  • Must comply with patient privacy laws
  • Emergency transport not available
  • Special billing options available

18. Compliance

18.1 Legal Compliance

  • You must comply with all applicable laws
  • Including tax, business licensing and labor laws
  • We cooperate with law enforcement as necessary

18.2 Anti-Corruption

  • Zero tolerance for bribery or corruption
  • Must not offer improper payments
  • Report any corruption attempts

19. Service Level Agreement

19.1 Uptime Commitment

  • Target 99.9% platform availability
  • Scheduled maintenance excluded
  • Credits available for extended downtime

19.2 Support

  • Business hours support via email and phone
  • 24/7 emergency support for critical issues
  • Response time based on severity levels
